WIS Connect Terms of Use
These Terms of Use for the WIS International (the “Company”) WIS Connect employee portal and mobile application (collectively, the “Portal”) govern the use of the Portal by persons choosing to access it. Please make sure to read these Terms of Use carefully before you access the Portal. By downloading or using the Portal, you agree to these Terms of Use without modification. The Company is making the Portal available to you, on a purely voluntary basis, to facilitate accessibility of your schedule and track your time worked, among other uses. If you do not wish to agree to the Terms of Use, you should not download or use the Portal.
MODIFICATIONS
The Company reserves the right to make changes to the Portal and/or these Terms of Use in its sole discretion at any time.
TERMINATION / ACCESS RESTRICTION
The Company may edit, refuse to post, or remove any information or materials, in whole or in part, from the Portal, or to terminate your access to the Portal and the related services, or any portion thereof at any time, without notice in its sole discretion.
NO UNLAWFUL OR PROHIBITED USE
You agree to use the Portal consistent with these Terms of Use and the WIS International Code of Conduct, any other Company policies, and applicable law. By way of example, you warrant that you will not use or attempt to use the Portal:
- for any purpose that is unlawful or prohibited by these Terms of Use or Company policy;
- in any manner which could damage, disable, overburden, or impair the Portal or interfere with any other party’s use and enjoyment of the Portal;
- to obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Portal;
- for unauthorized access to files that contain software or other material protected by intellectual property laws (or by rights of privacy);
- to knowingly upload files that contain viruses, corrupted files, or any other similar software or programs;
- to falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded;
- to harvest or otherwise collect information about others, including e-mail addresses, without proper consent;
- to defame, abuse, harass, stalk, threaten or otherwise violate the rights of others;
- to conduct or forward surveys, contests, pyramid schemes or chain letters;
- to advertise or offer to sell or buy any goods or services.
VIOLATIONS OF SYSTEM AND NETWORK SECURITY
Violations of system and network security are prohibited. Examples of system and network security violations include the following:
- Unauthorized access to or use of data, systems or networks, including any attempt to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures;
- Unauthorized monitoring of data or traffic on any network or system;
- Interference with service to any user, host or network, including, without limitation, attempts to overload a system.
PASSWORDS AND ACCOUNT SECURITY
You are solely responsible for all activities that occur under your account. You agree not to share your password with anyone else, and that you are responsible for maintaining the confidentiality of passwords associated with any account you use to access the Portal, including if accessing this Portal using a mobile application. If you become aware of any unauthorized use of your password or of your account, you agree to notify the Company immediately at wisconnect_support@wisintl.com
YOUR RESPONSIBILITY FOR CHARGES
If you are using the Portal on a mobile device without Wi-Fi, remember that your terms of agreement with your mobile network provider will apply. As a result, you may be charged by your mobile provider for the cost of data for the duration of the connection while accessing the Portal, or other third-party charges. Remember, use of the Portal is completely voluntary, and you accept responsibility for any charges, including roaming data charges incurred when the Portal is used outside of your home territory (i.e., region or country) without turning off data roaming. You should check with your mobile device carrier to find out whether any fees or charges will apply, what plans are available, how much they will cost, and any other related questions you may have.
YOUR RESPONSIBILITY FOR MOBILE DEVICE
You must ensure that you have a compatible mobile device and that you download the correct Portal application version for your device, including the latest updates.
INFORMATION POSTED TO PORTAL
By posting, uploading, inputting, providing or submitting materials to the Portal (including feedback and suggestions) (collectively “Submissions”), you are granting the Company and its partners permission to use your Submission in connection with the operation of its businesses including, without limitation, the right to copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Submission. No compensation will be paid for the use of your Submission. The Company is not obligated to post or use any Submission, and the Company may remove any Submission at any time in its sole discretion. By posting, uploading, inputting, providing or submitting your Submission, you warrant and represent that you own, or otherwise control, all of the rights to your Submission as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submissions.
EMPLOYEE DATA
Some sections of the Portal may allow you to submit information related to your employment. This information, as well as additional information captured by Portal during its use, are referred to as “Employee Data.” Employee Data may include, but is not limited to, the following: name and physical address, email address, phone numbers, badge number, unique identifiers such as cookies placed on your computer or mobile device, your work location, scheduling information, time keeping data, employee identification or government identification numbers, internet protocol address and information about your devices such as internet transfer protocol signals, browser or device type, operating system, user-agent strings and information about other apps on your mobile device and behavioral data about your usage of the Portal or other sites.
You are responsible for ensuring that no one else uses the Portal (especially any mobile application version) to enter or access Employee Data within your account. You are responsible for any Employee Data entered by an unauthorized person, and may be subject to discipline, up to and including termination of your employment, for the entry of Employee Data by anyone other than you. While the Portal processes your Employee Data, including timekeeping data, it is your responsibility to ensure the transmitted information is accurate. Additionally, you are responsible for confirming that the downloaded timekeeping data matches what appears on your statement of earnings.
The Portal stores and processes Employee Data that you enter. The information will be downloaded to, and stored on, a server maintained by the Company, and used for Company operations, including, but not limited to, scheduling and work availability, transportation facilitation, payroll processing, financial analysis, and to conduct investigations and defend litigation.
The Company will treat the Employee Data as confidential and limit internal access to employees with a need to know, such as employees who perform human resources, finance, legal, information technology functions, as well as employees involved in transportation administration and for purposes of event supervision.
The Company may disclose Employee Data as permitted or required by applicable law. The Company will apply reasonable and appropriate physical, technical and administrative safeguards for Employee Data to prevent unauthorized access, use, or disclosure.
LIABILITY; DISCLAIMER OF WARRANTY; RELEASE; INDEMNITY
THE PORTAL IS PROVIDED ON AN “AS IS” BASIS. THE COMPANY MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE PORTAL. YOU EXPRESSLY AGREE THAT YOUR USE OF THE PORTAL IS COMPLETELY VOLUNTARY AND IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE PORTAL, INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES, UNLESS OTHERWISE SPECIFIED IN WRITING.
You agree to release the Company, its parents, subsidiaries and affiliates, from any and all liability and obligations whatsoever in connection with your use of this Portal. You agree to defend, indemnify and hold harmless the Company, its parents, subsidiaries and affiliates, from and against all claims, liabilities, damages and expenses (including legal fees) arising out of your use of this Portal. The Company is not responsible for the content or practices of third party websites that may be linked to the Portal, and makes no representation or warranty regarding such sites.
While the Company makes every attempt to ensure the information provided on the Portal is reliable, human or technical error is possible. Therefore, the Company does not guarantee the accuracy, completeness, timeliness or correct sequencing of information.
COPYRIGHT AND TRADEMARK NOTICES
The contents of the Portal are protected by trademark and/or copyright. All rights reserved. Company logos and other trademarks, service marks, graphics, and logos used in connection with the Portal are trademarks and may be registered trademarks of the Company in the U.S. and/or other countries. You are granted no right or license in any Company trademarks or copyrights, and further agree that you shall not remove, obscure, or alter any proprietary notices (including trademark and copyright notices) that may be affixed to or contained within the Portal.
GENERAL LEGAL TERMS
Nothing contained in these Terms of Use will alter the Company’s obligation to comply with governmental, court and law enforcement requests or requirements relating to your use of the Portal or information provided to or gathered by the Company with respect to such use. If any part of these Terms of Use are determined by a court or similar body to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, these Terms of Use constitute the entire agreement between you and the Company with respect to the Portal, and supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and the Company with respect to the Portal.
You agree that the Company may provide you with notices, including those regarding changes to the Terms of Use, by email, regular mail, or postings on the Portal. You agree that if the Company does not exercise or enforce any legal right or remedy which is contained in the Terms of Use (or which the Company has the benefit of under any applicable law), this will not be taken to be a waiver of the Company’s contract or other rights, and that those rights or remedies will still be available to the Company.
